These Terms of Service ("Terms") govern your use of uniqsupply.com (the "Site") and all purchases from Sierra Madre Supplies, LLC, an Arizona limited liability company doing business as UNIQ Supply ("UNIQ Supply," "we," "us," or "our"). By using the Site, creating an account, requesting a quote, or placing an order, you agree to these Terms on behalf of yourself and the business you represent ("you"). If you do not agree, please do not use the Site.

1. Business Customers Only

The Site and our products are offered for business and commercial use. By placing an order, you confirm that you are at least 18 years old, that you are buying for a business, and that you have authority to bind that business to these Terms.

2. Accounts

You are responsible for keeping your account login secure and for all activity under your account. Please keep your account information accurate and tell us right away if you believe your account has been accessed without permission. We may suspend or close accounts that violate these Terms or show signs of fraud.

3. Products and Descriptions

We try to describe and display our products accurately, including sizes, materials, colors, and case quantities. Colors may look different on your screen than in person, and product details may change slightly between production runs. If a product you receive does not match its description, see our Refund Policy.

You are responsible for choosing products suited to your use, including temperature limits, food types, and local packaging or health regulations. For example, clear PET cups are intended for cold drinks, not hot drinks. Please contact us if you have questions about a product's suitability.

4. Pricing and Availability

Prices are listed in U.S. dollars and may change at any time without notice. Products are subject to availability. If a product is listed at an incorrect price or with incorrect information because of an error, we may cancel or refuse orders placed for that product, even after an order confirmation is sent. If you have already been charged, we will refund you.

5. Orders

Your order is an offer to buy. An order confirmation email means we received your order, not that we have accepted it. We accept an order when we ship it or, for custom orders, when you approve the final proof. We may limit quantities, refuse, or cancel any order, including orders that appear fraudulent or that we cannot fulfill. If we cancel an order after you have paid, we will refund you.

If you send us a purchase order or other document with your own terms, those terms do not apply. These Terms control unless we agree otherwise in a signed writing.

6. Payment

Payment is due in full when you place an order, using the payment methods offered at checkout. You authorize us and our payment processors to charge your selected payment method for the order total, including taxes and shipping. If a payment is declined, reversed, or returned, we may cancel or hold the order until payment is received. Please contact us before filing a chargeback so we can try to resolve the issue.

7. Sales Tax and Tax Exemption

You are responsible for all applicable sales and use taxes. To buy tax-exempt, you must provide a valid resale or exemption certificate before the order is placed. You are responsible for the accuracy and validity of any certificate you give us. If a taxing authority later determines that tax was owed, you agree to pay that tax and any related penalties and interest.

8. Custom Printed Products

Quotes. Quotes for custom printed products are valid for 30 days unless the quote says otherwise, and are based on the quantities, artwork, and specifications provided at the time.

Proofs and approval. We will send you a digital proof before production. Please review it carefully for spelling, layout, colors, sizing, and all other details. Once you approve a proof, production begins and we are not responsible for errors that appear in the approved proof.

No cancellations after approval. Custom orders cannot be canceled, changed, or returned after proof approval, except for defects or errors on our part as described in our Refund Policy.

Color matching. Printed colors may vary slightly from your screen, from proofs, and from Pantone or other color references, and may vary slightly between production runs. Minor color variation is not a defect.

Quantity variance. Custom print production may result in delivered quantities up to 10% more or less than ordered. You will be charged, or credited, for the actual quantity delivered.

Lead times. Production and delivery times are estimates, not guarantees. We are not liable for delays, but we will keep you informed if your order is delayed.

Your artwork. You confirm that you own or have permission to use all logos, trademarks, designs, and other content you send us ("Artwork"), and that printing it will not violate anyone's rights or any law. You keep ownership of your Artwork. You give us a limited license to use it to produce your order. We may refuse to print any Artwork we believe is unlawful, infringing, or offensive.

Showing our work. We may show photos of products we printed for you in our marketing and portfolio. If you do not want us to, tell us in writing and we will stop using them going forward.

9. Shipping, Title, and Risk of Loss

Shipping costs and estimated delivery times are shown at checkout or in your quote. Title and risk of loss pass to you when the order is delivered to your shipping address. Please inspect your order promptly on arrival and report any damage, shortage, or errors as described in our Refund Policy.

10. Returns and Refunds

Returns, refunds, and damaged or incorrect orders are handled under our Refund Policy, which is part of these Terms. Custom printed products are not eligible for return except for defects or errors on our part.

11. Warranty Disclaimer

Our only obligation for a defective or incorrect product is to replace it or refund the purchase price, as described in our Refund Policy. Except as stated there, products and the Site are provided "as is." To the fullest extent allowed by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent allowed by law, UNIQ Supply will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost sales, business interruption, or reprinting costs, even if we were told they were possible. Our total liability for any claim relating to a product or order will not exceed the amount you paid for that product or order.

13. Indemnification

You agree to defend, indemnify, and hold harmless UNIQ Supply, Sierra Madre Supplies, LLC, and their owners, employees, and agents from any claims, losses, and expenses, including reasonable attorneys' fees, arising from your Artwork, your misuse of our products, your resale or distribution of our products, or your breach of these Terms.

14. Use of the Site

You agree not to misuse the Site. This includes interfering with its operation, attempting unauthorized access, scraping or copying content in bulk, submitting false information, or using the Site for any unlawful purpose. All Site content, including text, images, logos, and product photos, belongs to us or our licensors and may not be copied or used without our written permission.

The Site may link to third-party websites. We are not responsible for their content or practices.

15. Privacy

Our Privacy Policy explains how we collect and use personal information.

16. Electronic Communications

By using the Site or placing an order, you agree to receive order confirmations, proofs, invoices, and other business communications electronically. Electronic communications satisfy any legal requirement that communications be in writing.

17. Events Beyond Our Control

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, carrier delays, supply shortages, labor disputes, power or internet outages, government actions, or pandemics.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules.

Informal resolution first. Before starting any lawsuit, the party with a claim must send the other party a written description of the dispute. Both parties will try in good faith to resolve it for at least 30 days.

Courts. If the dispute is not resolved, it must be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and both parties consent to those courts' jurisdiction. Either party may bring a qualifying claim in small claims court instead. Claims must be brought individually, not as part of a class or representative action.

Attorneys' fees. In any lawsuit relating to these Terms or an order, the winning party is entitled to recover its reasonable attorneys' fees and costs.

19. Changes to These Terms

We may update these Terms from time to time. We will post the new version here and change the "Last updated" date. Changes apply to orders placed after the update. The Terms in effect when you placed an order apply to that order.

20. General

These Terms, together with our Refund Policy, Privacy Policy, and any written quote we give you, are the entire agreement between you and us about your use of the Site and your purchases. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any part of these Terms is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a sale or reorganization of our business.
